Terms of Service

Last updated: October 20, 2026 • Effective Date: October 20, 2026

1. Acceptance of Terms

By accessing this website, submitting an engineering inquiry, or commissioning software development services from KeneStack Studio ("KeneStack," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, organization, or legal entity, you represent that you have the authority to bind that entity to these terms.

2. Engineering Services & Statements of Work

KeneStack Studio provides bespoke software engineering, distributed systems architecture, commerce platform development, and modern interface design. Specific deliverables, delivery timelines, project milestones, and pricing for bespoke engagements will be defined in written Statements of Work (SOW) or formal technical proposals agreed upon by both parties.

3. Client Responsibilities

To ensure project momentum and high-quality deliverables, clients agree to:

  • Provide timely access to necessary technical credentials, third-party APIs, and staging environments.
  • Designate a primary technical or product point of contact for milestone approvals and code reviews.
  • Provide accurate project specifications, feedback, and requisite digital assets in a prompt manner.

4. Intellectual Property Rights

Client Deliverables: Upon receipt of full payment for all completed milestones outlined in the applicable SOW, all custom application source code, proprietary business logic, and bespoke design assets created specifically for the client transfer to the client.

Studio Background IP: KeneStack Studio retains ownership of all pre-existing software libraries, developer tooling, proprietary algorithms, frameworks, and reusable scaffolding developed independently prior to or outside the specific client engagement. KeneStack grants clients a non-exclusive, perpetual, royalty-free license to use any incorporated Background IP solely as part of their delivered software.

5. Confidentiality & Non-Disclosure

Both KeneStack Studio and the client agree to protect each other's proprietary business information, source code, product roadmaps, and trade secrets with reasonable commercial care. Confidential information will not be disclosed to any third party without prior written consent, except as required by law.

6. Payment Terms & Invoicing

Invoices are issued according to the payment schedules defined in the project SOW (e.g., milestone-based or retainer). Payment is due within the timeframe specified on each invoice (typically Net 14 or Net 30). Late payments may result in a pause on scheduled engineering sprints and deployment milestones until accounts are reconciled.

7. Warranties & Limitation of Liability

KeneStack Studio engineers software in accordance with high commercial and industry standards. However, software is delivered on an "as is" and "as available" basis once passed through agreed-upon acceptance criteria.

To the fullest extent permitted by applicable law, in no event shall KeneStack Studio be liable for any indirect, consequential, incidental, special, or punitive damages (including loss of profits, revenue, data, or business interruption), regardless of the cause of action. KeneStack Studio's total aggregate liability arising under any engagement shall not exceed the total fees paid by the client under the applicable Statement of Work in the preceding three (3) months.

8. Modifications to Terms

We reserve the right to modify these Terms of Service periodically. Any updates will be posted to this page with an updated "Last updated" timestamp. Continued use of our site and services following posted changes constitutes acceptance of the revised terms.
